Hadron Terms of Service

These Terms of Service ("Terms") are an agreement between you and Baragaun, Inc. ("Baragaun," "we," "us," or "our") governing your access to and use of Hadron, including the Hadron websites, portal, APIs, command-line tools, and services (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Service.

Eligibility and accounts

You must be at least 18 years old and legally able to enter into these Terms. You must provide accurate account information, keep it current, protect your credentials, and promptly notify us of suspected unauthorized use. You are responsible for activity under your account and for configuring appropriate access controls for your organizations, Apps, agents, integrations, and memories.

The Service

Hadron provides tools for storing and organizing knowledge, configuring and running AI agents and automations, and connecting third-party services. We may add, change, or remove features over time. Some features may be identified as alpha, beta, pilot, preview, or experimental and may be changed or discontinued without notice.

Your content

You retain ownership of content you submit to the Service ("Your Content"). You grant Baragaun a worldwide, non-exclusive license to host, copy, transmit, process, display, and otherwise use Your Content only as needed to provide, secure, maintain, and improve the Service and to comply with law.

You are responsible for Your Content and must have the rights and permissions needed to provide it to Hadron and direct its processing. You control who may access shared content through the permissions you configure. You should not provide regulated, confidential, or sensitive information unless your use of the Service and its configuration are appropriate for that information.

We do not claim ownership of Your Content and do not use it to train general-purpose AI models unless we obtain your separate, affirmative consent.

Acceptable use

You may not use the Service to:

  • violate law or another person's rights, including privacy, publicity, or intellectual-property rights;
  • send spam, unsolicited bulk messages, deceptive communications, or other abusive email, SMS, or notifications;
  • harass, threaten, defraud, impersonate, or harm another person;
  • distribute malware or facilitate phishing, credential theft, or unauthorized surveillance;
  • gain unauthorized access to an account, system, or data, or probe or disrupt the Service's security or availability;
  • evade usage limits or safeguards, conceal the origin of automated activity, or use the Service in a way that creates unreasonable load; or
  • build or operate a product or activity that is unlawful or that would cause Baragaun to violate a third party's terms or policies.

You are responsible for ensuring that automated actions comply with applicable law and provider rules. We may investigate suspected abuse and suspend or limit access when reasonably necessary to protect users, third parties, or the Service.

AI and automated actions

AI-generated output may be incomplete, inaccurate, or inappropriate. You must review output and automated actions to the degree appropriate for your use case, particularly before relying on them for consequential decisions or external communications. The Service is not a substitute for professional legal, medical, financial, or other advice.

You decide which tools, credentials, data, and permissions an agent or automation may use. You are responsible for those choices and for actions initiated through your account.

Third-party services

The Service may interoperate with AI providers, identity providers, data sources, and other third-party services. Your use of a third-party service is governed by its own terms and privacy policy. We are not responsible for third-party services, their availability, or their handling of information.

Fees

Some features may require payment. Pricing and applicable limits will be shown before you purchase. Unless stated otherwise, fees are non-refundable except as required by law. You authorize us and our payment provider to charge the payment method you supply for amounts due. We may change pricing prospectively with reasonable notice.

Baragaun property and feedback

The Service, including its software, documentation, design, and branding, is owned by Baragaun and its licensors and is protected by intellectual-property law. Except for the rights expressly granted in these Terms, we reserve all rights in the Service.

If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation. This does not give us ownership of Your Content.

Suspension and termination

You may stop using the Service at any time. You may request account deletion by contacting help@hadronmemory.com.

We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or use the Service in a way that could harm Hadron, its users, or third parties. When practical, we will give notice and an opportunity to cure. We may also discontinue the Service; if we do, we will provide reasonable notice when circumstances permit.

After termination, your right to use the Service ends. Provisions that by their nature should survive will survive, including those concerning ownership, payment obligations, disclaimers, liability, and disputes. Data retention and deletion are described in our Privacy Policy.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." BARAGAUN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Nothing in these Terms limits warranties or rights that cannot lawfully be excluded.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARAGAUN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID BARAGAUN FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

These limitations do not apply where prohibited by law.

Indemnification

If you use the Service on behalf of a business or organization, that entity will defend and indemnify Baragaun and its affiliates, officers, and employees against third-party claims, damages, and reasonable costs arising from Your Content, your use of the Service in violation of these Terms, or your violation of another person's rights, except to the extent caused by Baragaun's own unlawful conduct.

Governing law and disputes

Oregon law governs these Terms, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Multnomah County, Oregon, and each party consents to their jurisdiction and venue. Nothing in this section prevents either party from seeking injunctive or equitable relief where appropriate.

Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms and revise the effective date. If a change is material, we will provide reasonable notice. Changes apply prospectively. Your continued use of the Service after the effective date means you accept the updated Terms.

General

These Terms and the Privacy Policy are the entire agreement between you and Baragaun concerning the Service unless a separate written agreement applies. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, reorganization, or sale of assets.
